As you know, on December 20, 2012 (the “Closing Date”) Cisco Systems, Inc. (“Cisco”) acquired Meraki, Inc. (“Meraki”) (the “Acquisition”) pursuant to the Agreement and Plan of Merger by and among Cisco, Madras Acquisition Corp., Meraki and the Stockholders’ Agent dated as of November 16, 2012, as amended by that certain Amendment No. 1 to the Agreement and Plan of Merger, dated as of December 5, 2012 and that certain Amendment No. 2 to the Agreement and Plan of Merger, dated as of December 13, 2012 (as amended, the “Merger Agreement”). On the Closing Date, you held one or more outstanding restricted stock units related to shares of Meraki common stock granted to you under the Meraki 2012 Equity Incentive Plan (the “Plan”). Pursuant to the Merger Agreement, on the Closing Date, Cisco assumed all obligations of Meraki under your outstanding restricted stock unit award(s).
