THIS SECOND LIEN CREDIT AGREEMENT, dated as of December 20, 2012, is among ATLAS RESOURCE PARTNERS, L.P. (the “Borrower”), a Delaware limited partnership and successor by assignment pursuant to Section 12.17 to Atlas Energy, L.P., a Delaware limited partnership; each of the Lenders from time to time party hereto; and WELLS FARGO ENERGY CAPITAL, INC.
