RESTRICTED STOCK UNIT AGREEMENT (this “Agreement”), dated as of December 26, 2012 (the “Grant Date”), by and between Michael F. Zendan II (the “Participant”) and Horizon Lines, Inc., a Delaware corporation (the “Company”), is made pursuant to and subject to the provisions of the Company’s 2012 Incentive Compensation Plan (the “Plan”). The Plan, as it may be amended from time to time, is incorporated herein by reference. All terms used herein that are defined in the Plan shall have the meanings given to them in the Plan.
