This ASSET PURCHASE AND SALE AGREEMENT (this “Agreement”) is entered into as of [—], 2013, by and between QLT Inc., a company duly incorporated under the laws of British Columbia (“Seller”), and Mati Therapeutics Inc., a company duly incorporated under the laws of Delaware (“Buyer”).
