This Stock Purchase Agreement (this “Agreement”), dated as of December 31, 2012, is entered into among CRAIG BAYER, MARYANN ERICKSON, BRIAN CANNON, THERESE SEIFERT, ALEX GOODBODY, GREG HOINO, RICHARD WHITFORD and WILLIAM JAMES (each a “Seller” and collectively, “Sellers”), CECO GROUP, INC.
