Buckeye Partners, L.P., a Delaware limited partnership (the “Partnership”), proposes to sell 6,000,000 units representing limited partner interests in the Partnership (the “Firm Units”) to the Underwriters named in Schedule 1 attached hereto (the “Underwriters”), for whom Barclays Capital Inc., Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, Wells Fargo Securities, LLC, Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and UBS Securities LLC are acting as representatives (the “Representatives”). In addition, the Partnership proposes to grant to the Underwriters an option to purchase up to 900,000 additional units representing limited partner interests in the Partnership (the “Option Units”) on the terms set forth in Section 2 hereof.
