This REGISTRATION RIGHTS AGREEMENT dated January 31, 2013 (this “Agreement”) is entered into by and among Gibraltar Industries, Inc., a Delaware corporation (the “Company”), the guarantors listed on the signature pages hereto (the “Initial Guarantors”), and J.P.
