THIS AGREEMENT, made the 18th day of October 2012, between PENNS WOODS BANCORP, INC. (“Penns Woods”), a Pennsylvania business corporation, LUZERNE BANK (“Luzerne”), a Pennsylvania banking institution (Penns Woods and Luzerne are sometimes referred to herein collectively as the “Employer”), and ROBERT G. EDGERTON, JR., an adult individual (“Executive”).
