This CREDIT AGREEMENT (“Agreement”) is entered into as of January 30, 2013, among BRIGHT HORIZONS FAMILY SOLUTIONS LLC, a Delaware limited liability company (the “Borrower”), BRIGHT HORIZONS CAPITAL CORP., a Delaware corporation, GOLDMAN SACHS BANK USA, as Administrative Agent, Swing Line Lender, L/C Issuer, Joint Lead Arranger and Joint Bookrunner, each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), J.P.
