AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) originally dated as of June 22, 2011 and as amended and restated as of January 31, 2013 among HEIDRICK & STRUGGLES INTERNATIONAL, INC., the FOREIGN SUBSIDIARY BORROWERS from time to time party hereto, the LENDERS from time to time party hereto, JPMORGAN CHASE BANK, N.A., as Administrative Agent, BANK OF AMERICA, N.A., as Syndication Agent and THE NORTHERN TRUST COMPANY, as Documentation Agent.
