THIS AGREEMENT is made and entered into effective the day of , 201 , by and among NATIONWIDE VARIABLE INSURANCE TRUST (the “Trust”), a Delaware statutory trust, NATIONWIDE FUND ADVISORS (the “Adviser”) a Delaware business trust registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and , a company under the laws of the State of (the “Subadviser”), and also registered under the Advisers Act.

This Fund of Funds Participation Agreement (“Agreement”) is made as of the date set forth below by and among Nationwide Variable Insurance Trust (“NVIT”), on behalf of each of the Fund of Funds named on Schedule A (each, a “Fund of Funds”); Nationwide Fund Advisors, the investment adviser to the Funds of Funds ( the “Adviser” or “NFA”); DFA Investment Dimensions Group Inc. (“DFAIDG” or an “Acquired Fund”), on behalf of its respective series named on Schedule B (each, a “Portfolio” and collectively, the “Portfolios”); and Dimensional Fund Advisors LP, the investment adviser to the Portfolios (“Dimensional”).
Nationwide Fund Distributors LLC12b-1 Fee Waiver Agreement • February 11th, 2013 • Nationwide Variable Insurance Trust
By our execution of this letter agreement (the “Agreement”), intending to be legally bound hereby, Nationwide Fund Distributors LLC (the “Distributor”) agrees that, with respect to each of the NVIT Cardinal Protected Growth Fund and NVIT Cardinal Protected Growth & Income Fund (collectively, the “Funds”), which are series of Nationwide Variable Insurance Trust, the Distributor shall waive a portion of the Rule 12b-1 fees for the Class II Shares of the Funds in an amount equal to 0.05%, for the period from the date of this Agreement through April 30, 2014. The Distributor acknowledges that it shall not be entitled to collect on, or make a claim for, waived fees at any time in the future.
