This binding term sheet (this “Term Sheet”), dated as of the date first written above, is between Mandalay Digital Group, Inc., a Delaware corporation (“Issuer”), and William C. Powers, Trustee of the William C. Powers Trust dtd 12/18/09 (“Investor”). The parties hereby agree as follows:
