ionGrid, Inc. (the “Company”) hereby grants you, (the “Participant”), an award of restricted stock units (“Restricted Stock Units”) under the ionGrid, Inc. 2013 Equity Incentive Plan (the “Plan”) effective as of immediately prior to the closing of the transactions contemplated by that certain Agreement and Plan of Merger, dated February 7, 2013, by and among NetApp, Inc., a Delaware corporation (“Parent”), Tron Acquisition Corporation, a Delaware corporation and a wholly owned subsidiary of Parent, Clu Acquisition LLC, a Delaware limited liability company and a wholly owned subsidiary of Parent, the Company, and, with respect to Article VIII and Article X of the Merger Agreement only, Nick Triantos as stockholder representative (such transactions, the “Merger,” such agreement, the “Merger Agreement” and the date of such closing, the “Effective Date”).
