THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of February 18, 2013, by and between AURORA NETWORKS, INC., a Delaware corporation (“Buyer”), and HARMONIC INC., a Delaware corporation (“Seller”).
