Discovery Communications, LLC, a Delaware limited liability company (the “Company”) and an indirect wholly-owned subsidiary of Discovery Communications, Inc. (the “Guarantor” and, together with the Company, the “Issuers”), proposes to issue and sell to the several Underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), $350,000,000 aggregate principal amount of its 3.250% Senior Notes due 2023, (the “2023 Notes”) and $850,000,000 aggregate principal amount of its 4.875% Senior Notes due 2043, (the “2043 Notes” and together with the 2023 Notes, the “Securities”).
