This REGISTRATION RIGHTS AGREEMENT dated February 11, 2013 (this “Agreement”) is entered into by and among ING U.S., INC., a Delaware corporation (the “Company”), LION CONNECTICUT HOLDINGS INC. Capitalized terms that are not defined in this letter shall have the same meaning as under your Employment Agreement.
