THIS LOAN AND SECURITY AGREEMENT is made and dated as of March 26, 2013 and is entered into by and among CELL THERAPEUTICS, INC., a Washington corporation (“Cell Therapeutics”), and SYSTEMS MEDICINE LLC, a Delaware limited liability company (“Systems Medicine”; Cell Therapeutics and Systems Medicine are hereinafter referred to individually and collectively, jointly and severally, as “Borrower”), and HERCULES TECHNOLOGY GROWTH CAPITAL, INC., a Maryland corporation (“Lender”).

SEATTLE, March 28, 2013 — Cell Therapeutics, Inc. (CTI) (NASDAQ and MTA: CTIC) announced today it has entered into a loan agreement with Hercules Technology Growth Capital, Inc. (NYSE: HTGC) providing for a senior secured term loan of up to $15 million.
