This CREDIT AGREEMENT (as the same may be amended, modified, refinanced and/or restated from time to time, this “Agreement”) is entered into as of April 5, 2013, among SKY ACQUISITION LLC, a Delaware limited liability company (“Parent”), APRIA HEALTHCARE GROUP INC., a Delaware corporation (the “Borrower”), the Guarantors party hereto from time to time, BANK OF AMERICA, N.A., as Administrative Agent and U.S. BANK NATIONAL ASSOCIATION, as Collateral Agent and each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”).
