DEPOSIT AGREEMENT, dated as of April 9, 2013, between DDR Corp., an Ohio corporation, and Computershare Shareowner Services LLC, a New Jersey limited liability company, as Depositary, and all holders from time to time of Depositary Shares (as hereinafter defined).
