This SECOND AMENDED AND RESTATED FIVE-YEAR CREDIT AGREEMENT (this “Agreement”) dated as of April 5, 2013 is entered into among DTE ELECTRIC COMPANY (f/k/a The Detroit Edison Company), a Michigan corporation (the “Borrower”), the banks, financial institutions and other institutional lenders (the “Initial Lenders”) listed on the signature pages hereof, and BARCLAYS BANK PLC (“Barclays”), as Administrative Agent (the “Agent”) for the Lenders (as hereinafter defined).
