This TRANSITIONAL EMPLOYMENT AND RETIREMENT AGREEMENT is made and entered into as of April 8, 2013, by and between HERITAGE FINANCIAL CORPORATION and D. MICHAEL BROADHEAD. As used in this Agreement, capitalized terms have the meanings set forth in Section 21.
