US Airways, Inc., a Delaware corporation (the “Company”), proposes that Wilmington Trust Company, as trustee under each of the Original Trusts (as defined below) (the “Trustee”), issue and sell to the underwriters named in Schedule II hereto US Airways Pass Through Certificates, Series 2013-1A-O (the “Class A Certificates”) and US Airways Pass Through Certificates, Series 2013-1B-O (the “Class B Certificates” and, together with the Class A Certificates, the “Certificates”), in the aggregate face amounts and with the stated interest rates and final expected distribution dates set forth on Schedule I hereto on the terms and conditions stated herein.
