This Amendment No. 1 (the “Amendment”), effective the latter date of execution by all parties hereto (the “Effective Date”), by and among Prudential Retirement Insurance and Annuity Company (the “Company”), Prudential Investment Portfolios, Inc. (“PIP” or the “Fund”), Prudential Investment Management Services LLC (the “Underwriter”) and Prudential Investments LLC (the “Adviser”) to the Fund Participation Agreement dated and effective October 30, 2009 (the “Agreement”).

THIS AMENDMENT TO DAILY VALUATION AGENCY AGREEMENT (this “Amendment”) is dated as of April 12th, 2007, with an effective date of October 16, 2007, by and between THE VANGUARD GROUP, INC. (“Vanguard”) and THE PRUDENTIAL INSURANCE COMPANY OF AMERICA (the “Agent”), on its behalf and on behalf of one or more of its affiliates doing business as Prudential Retirement. This Amendment is intended to be limited to that part of the Prudential organization doing business as Prudential Retirement.
