Sabine Pass Liquefaction, LLC a Delaware limited liability company (the “Issuer”), proposes to issue and sell to Morgan Stanley & Co. LLC and the initial purchasers named in Schedule A hereto (collectively, the “Initial Purchasers”), for whom Morgan Stanley & Co.
