This Confidentiality, Non-Solicitation and Non-Compete Agreement (the “Agreement”) dated this 22nd day of April, 2013 is entered into by and between Steven A Ross (“Employee”) and NeoGenomics, Laboratories Inc., a Florida corporation (“Employer” and collectively with NeoGenomics, Inc., a Nevada corporation (the “Parent Company”) and any entity that is wholly or partially owned by the Employer or the Parent Company or otherwise affiliated with the Parent Company, the “Company”). Hereinafter, each of the Employee or the Company maybe referred to as a “Party” and together be referred to as the “Parties”.
