This Nomination Agreement (this “Agreement”) dated April 25, 2013, sets forth our understanding and agreement with respect to your investment in and representation on the Board of Directors of Willis Group Holdings Public Limited Company (the “Company” and, such Board of Directors, the “Board”) and certain restrictions and limitations to be placed on ValueAct Capital Master Fund, L.P., VA Partners I, LLC, ValueAct Capital Management, L.P., ValueAct Capital Management, LLC, ValueAct Holdings, L.P., ValueAct Holdings GP, LLC and their respective affiliates (collectively, the “ValueAct Group”) concerning the Company, its subsidiaries and their respective securities, assets and properties.
