JOINDER AND AMENDMENT made as of the 19th day of February, 2013 between CITI FUND SERVICES OHIO, INC., (“Citi”), an Ohio corporation having its principal place of business at 3435 Stelzer Road, Columbus, Ohio 43219, CITIBANK, N.A., a national banking association acting through its offices located in New York, New York (“Citibank”), and SALIENT MF TRUST, on behalf of each of its series (a “Series”), whether currently in existence or created in the future and any wholly-owned subsidiaries (each, a “Blocker”), whether currently in existence or created in the future, to that certain Administration Agreement, dated as of July 9, 2012, between the Fund and Citi (as amended and as in effect on the date hereof, the “Agreement”). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.
