The undersigned, GAMCO Global Gold, Natural Resources & Income Trust by Gabelli, a Delaware statutory trust (the “Fund”), and Gabelli Funds, LLC, a New York limited liability company (the “Adviser”), address you as underwriters and as the representatives (the “Representatives”) of each of the several underwriters named in Schedule I hereto (the “Underwriters”). The Fund proposes to sell to the Underwriters 4,000,000 shares of its 5.00% Series B Cumulative Preferred Shares, with a liquidation preference of $25.00 per share (the “Preferred Shares”) (said shares to be issued and sold by the Fund being hereinafter called the “Underwritten Securities”).
