DaVita HealthCare Partners (the “Company”) understands that Berkshire Hathaway Inc. and its Affiliates (collectively, “Investor”) may desire to increase their beneficial ownership of the Company’s common stock, par value $0.001 per share (the “Common Stock”). At the Company’s request, Investor is entering into this letter agreement (the “Agreement”). For purposes of this Agreement, “Affiliate” shall have the meaning set forth in Rule 12b-2 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
