THIS SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of Spectra Energy Partners GP, LLC, a Delaware limited liability company (the “Company”), executed and effective as of May 8, 2013 (the “Effective Date”), is adopted, executed and agreed to, by Spectra Energy Transmission, LLC, a Delaware limited liability company (“SET”), as the sole Member of the Company.
