This REGISTRATION RIGHTS AGREEMENT, dated May 9, 2013 (this “Agreement”) is entered into by and among Piedmont Operating Partnership, LP, a Delaware limited partnership (the “Issuer”), Piedmont Office Realty Trust, Inc., a Maryland corporation (the “Guarantor”), and J.P. Morgan Securities LLC (“JPMorgan”), Morgan Stanley & Co. LLC and U.S. Bancorp Investments, Inc., as representatives (in such capacity, the “Representatives”) of the several initial purchasers listed in Schedule 1 hereto (the “Initial Purchasers”).
