LOAN AGREEMENT, dated as of May 23, 2013, among US AIRWAYS, INC., a Delaware corporation (the “Borrower”), US AIRWAYS GROUP, INC. (“Group”), the direct and indirect Subsidiaries of Group and certain other affiliates of the Borrower party hereto from time to time, the several banks and other financial institutions or entities from time to time party hereto as Lenders, and CITICORP NORTH AMERICA, INC.
