Pursuant to Article 10 of the 2010 Amended and Restated Stock Incentive Plan (the “Plan”) of The Greenbrier Companies, Inc., an Oregon corporation (the “Company”), on May 28, 2013 (the “Grant Date”) the Compensation Committee of the Board of Directors of the Company (the “Committee”) authorized and granted to (the “Recipient”) an award of restricted stock units (“RSUs”) with respect to the Company’s common stock (“Common Stock”), subject to the terms and conditions of this agreement between the Company and the Recipient (this “Agreement”). By accepting this award, the Recipient agrees to all of the terms and conditions of this Agreement. Capitalized terms not otherwise defined in this Agreement shall have the meanings as defined in the Plan.

This Amendment to Change of Control Agreement, dated as of May 28, 2013, is entered into by and between The Greenbrier Companies, Inc. (the “Company”) and the undersigned (“Employee”) and amends that certain Change of Control Agreement (the “Agreement”) between such parties. Capitalized terms not otherwise defined in this Amendment have the meanings as defined in the Agreement.
