AGREEMENT OF PURCHASE AND SALE AND JOINT ESCROW INSTRUCTIONS THIS AGREEMENT OF PURCHASE AND SALE AND JOINT ESCROW INSTRUCTIONS (this “Agreement”) is made and entered into as of the 20th day of May, 2013 (the “Effective Date”), by and between KARLIN PARMER OFFICE, LLC, a Delaware limited liability company (“Seller”), and GLADSTONE COMMERCIAL LIMITED PARTNERSHIP, a Delaware limited partnership or its permitted assignee (“Purchaser”). Seller and Purchaser may each sometimes be referred to herein as a “Party,” and, collectively, as the “Parties,” The Parties are entering into this Agreement with reference to the following facts: RECITALS A.
