THIS FOURTH AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF INERGY, L.P. dated as of June 19, 2013 (the “Agreement”), is entered into by and among Inergy GP, LLC, a Delaware limited liability company, as the Managing General Partner, together with any other Persons who are or become Partners in the Partnership or parties hereto as provided herein.

This Registration Rights Agreement (this “Agreement”) is entered into as of June 19, 2013, by and among Inergy, L.P., a Delaware limited partnership (the “Company”), John J. Sherman (“Sherman”), Crestwood Holdings, LLC, a Delaware limited liability company (“Crestwood Holdings”), and Crestwood Gas Services Holdings LLC, a Delaware limited liability company (“Crestwood Gas Services”).
