Prologis, Inc., a Maryland corporation (the “Company”), confirms its agreement (this “Agreement”) with Merrill Lynch, Pierce, Fenner & Smith Incorporated (“Merrill Lynch”) and Citigroup Global Markets Inc. (“Citigroup”) (Merrill Lynch and Citigroup each a “Manager” and, collectively, the “Managers”) as follows:
