PRELIMINARY STATEMENT. The Company, the lenders parties thereto and Citibank, N.A., as administrative agent, and certain other parties are parties to an Amended and Restated Five Year Credit Agreement dated as of June 21, 2011 (the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01, the parties hereto agree to amend and restate the Existing Credit Agreement as herein set forth, and the Lenders parties to this Agreement shall be substituted for the lenders parties to the Existing Credit Agreement.
