This Limited Liability Company Agreement of GGT CRESCENT COOL SPRINGS TN VENTURE, LLC (this “Agreement”) is entered into and shall be effective as of the 28th day of June, 2013, by and between CRESCENT COOL SPRINGS VENTURE, LLC, a Delaware limited liability company (“Crescent”), and GGT COOL SPRINGS HOLDINGS, LLC, a Delaware limited liability company (“CNL”), pursuant to the provisions of the Delaware Limited Liability Company Act (the “Act”). Crescent and CNL are sometimes referred to herein, collectively, as the Members and individually as a Member.

THIS CONSTRUCTION LOAN AGREEMENT (the “Agreement”) is executed as of June 28, 2013, by and between FIFTH THIRD BANK, an Ohio banking corporation (“Lender”), GGT CRESCENT COOL SPRINGS TN VENTURE, LLC, a Delaware limited liability company (“Borrower”), and CRESCENT COMMUNITIES, LLC, a Georgia limited liability company (“Guarantor”).
