This Settlement Agreement (the “Agreement”) is entered into as of March 26, 2013 by and among Jeffrey A. THIS EMPLOYMENT CONTRACT (the “Agreement”) is made by and between CNB FINANCIAL CORPORATION, a Pennsylvania business corporation, CNB BANK, a state banking institution organized under the laws of the Commonwealth of Pennsylvania, with its principal office at One South Second Street, P.O. Box 42, Clearfield, Pennsylvania 16830 (hereinafter collectively referred to as “CNB”), and LOUIS J. TORCHIO, an adult individual, residing at 7120 Deacon Court, Dublin, Ohio 43017 (hereinafter the “Officer”), to be effective as of the Effective Date (as defined below).
