THIS SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”), dated as of July 17, 2013, is entered into by and between Spirit Realty Capital, Inc. (including any successors and/or assigns, the “Company”) and Gregg A. Seibert (the “Employee”). This Agreement amends and restates in its entirety the Original Agreement (as defined below) and shall be effective as of the Amended Effective Date (as defined below).
