AGREEMENT, made as of the 30th day of April, 2013, between American General Life Insurance Company (the “Company”, a life insurance company organized under the laws of the State of Texas, on behalf of itself and on behalf of the Variable Separate Accounts and/or Separate Accounts (hereinafter referred to as “Separate Accounts”) as set forth on Appendix A and Seasons Series Trust (the “Trust”), an open-end management investment company established pursuant to the laws of the Commonwealth of Massachusetts under a Declaration of Trust dated October 10, 1995 and filed October 11, 1995, which is composed of multiple investment series (“Portfolios”).

AGREEMENT made as of the 1st day of May, 2013, by and among Anchor Series Trust, a Massachusetts business trust, having a principal office at Harborside Financial Center, 3200 Plaza Five, Jersey City, New Jersey 07311, Seasons Series Trust, a Massachusetts business trust, having its principal office at One SunAmerica Center, Los Angeles, California 90067 and SunAmerica Series Trust, a Massachusetts business trust, having its principal office at One SunAmerica Center, Los Angeles, California 90067 (each, a “Trust” and collectively, the “Trusts”), and VALIC Retirement Services Company, a Texas corporation, having its principal office at 2929 Allen Parkway, Houston, Texas 77019 (the “Transfer Agent”). Each Trust is authorized to issue shares in separate series, with each series representing interests in a separate portfolio of securities and other assets (each, a Portfolio” and collectively, the “Portfolios”)

This AMENDMENT NO. 3 TO SUBADVISORY AGREEMENT is dated as January 14, 2013, by and between SUNAMERICA ASSET MANAGEMENT CORP., formerly AIG SunAmerica Asset Management Corp., a Delaware corporation (the “Adviser”), and J.P. MORGAN INVESTMENT MANAGEMENT INC., a Delaware corporation (the “Subadviser”).
