This LOAN AGREEMENT (“Agreement”) is entered into as of July 29, 2013, among COUSINS PROPERTIES INCORPORATED, a Georgia corporation (the “Borrower”), the Guarantors (as defined herein), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), JPMORGAN CHASE BANK, N.A., as Administrative Agent, and BANK OF AMERICA, N.A., as Syndication Agent.
