THIS JOINDER AGREEMENT (“Joinder Agreement”) is executed as of July 31, 2013 (the “Effective Date”), by HC-3873 N. Parkview Drive, LLC, a Delaware limited liability company (“Joining Party”), and delivered to KeyBank National Association, as Agent, pursuant to §5.5 of the First Amended and Restated Credit Agreement dated as of November 19, 2012, as amended by the First Amendment to First Amended and Restated Credit Agreement and Amendment to Unconditional Guaranty of Payment and Performance dated as of March 15, 2013, and as amended by that certain Second Amendment to First Amended and Restated Credit Agreement dated as of June 11, 2013, as from time to time in effect (collectively, the “Credit Agreement”), by and among Carter/Validus Operating Partnership, LP (the “Borrower”), KeyBank National Association, for itself and as Agent, and the other Lenders from time to time party thereto. Terms used but not defined in this Joinder Agreement shall have the meanings defined for those terms

THIS FEE AND LEASEHOLD MORTGAGE AND SECURITY AGREEMENT (this “Instrument”) is made and entered into as of this 31st day of July, 2013, by and between HC-3873 N. PARKVIEW DRIVE, LLC, a Delaware limited liability company (“Grantor”), as mortgagor, having a mailing address of 4211 W.
