This Line of Credit and Security Agreement (this “Agreement”) is made as of July 15, 2013 by and between CALAVO GROWERS, INC., a California corporation (the “Lender”), and FRESHREALM, LLC, a Delaware limited liability company (the “Debtor”).

This Amended and Restated Limited Liability Company Agreement (as amended, modified and waived from time to time in accordance with the terms hereof, this “Agreement”) is entered into as of August 16, 2013 (the “Effective Date”), by and among FreshRealm, LLC, a Delaware limited liability company (the “Company”), and the Members (as such term is defined herein) signatory hereto from time to time. This Agreement amends and restates in its entirety that certain Limited Liability Company Agreement of the Company, adopted in January 2013, as amended by that certain First Amendment to Limited Liability Company Agreement, adopted as of February 20, 2013.
