This Sub-Advisory Agreement is effective as of 1 July, 2013 by and between (i) ASHMORE INVESTMENT MANAGEMENT LIMITED, an investment adviser registered under the Investment Advisers Act of 1940 (the “Manager”) and the investment manager of Ashmore Funds, a Massachusetts business trust (the “Trust), and (ii) ASHMORE EQUITIES INVESTMENT MANAGEMENT (US) LLC, an investment adviser registered under the Investment Advisers Act of 1940 (the “Sub-Adviser”) and amends and restates in full the sub-advisory agreement entered into between the Manager and Sub-Adviser on 1 July 2012 (as amended on 22 August 2012).
