THIS AMENDED AND RESTATED MASTER LEASE AGREEMENT NO. 5 (hereinafter this “Lease”) is dated as of the 30th day of September, 2013 (the “Execution Date”), and is between VENTAS REALTY, LIMITED PARTNERSHIP, a Delaware limited partnership (together with its successors and assigns, “Lessor”), and KINDRED HEALTHCARE, INC., a Delaware corporation formerly known as Vencor, Inc.
