THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this 26th day of September, 2013, by and between The Huntington Funds, a Delaware statutory trust, with its principal place of business at 2960 N. Meridian Street, Suite 300, Indianapolis, IN 46208 (the “Trust”), with respect to its Huntington Dividend Capture Fund (the “Acquiring Fund”), and the Trust, with respect to its Huntington Income Equity Fund (the “Selling Fund”).
