Pacific Life Insurance Company (“Pacific Life”) and Pacific Life & Annuity Company (“Pacific Life & Annuity”) (hereinafter Pacific Life and Pacific Life & Annuity, separately and collectively, shall be called the “Insurance Company”), for itself and on behalf of one or more separate accounts of the Insurance Company (“Separate Accounts”), American Funds Distributors, Inc. THIS AGREEMENT is entered into as of the 1st day of October, 2013 (the “Effective Date”) by and among Pacific Life Insurance Company (“Pacific Life”), a life insurance company organized under the laws of the State of California and Pacific Life & Annuity Company (“Pacific Life & Annuity”), a life insurance company organized under the laws of the State of Arizona, (hereinafter Pacific Life and Pacific Life & Annuity, separately and collectively, shall be called the (“Insurance Company”) (on behalf of itself and certain of its separate accounts); Pacific Select Distributors, Inc. (the “Distributor”), a corporation organized under the laws of the State of California; American Funds Distributors, Inc. (“AFD”), a corporation organized under the laws of the State of California; and Capital Research and Management Company (“CRMC”), a corporation organized under the laws of the State of Delaware.

Pacific Life Insurance Company (the “Company”) has entered into a Fund Participation Agreement dated February 4, 2005 (the “Agreement”), with Merrill Lynch Variable Series Funds, Inc. (now named BlackRock Variable Series Funds, Inc.)(the “Fund”) and FAM Distributors, Inc. as amended June 22, 2007 (“Amendment No. 1”) regarding the provision to purchase shares in one more of the Portfolios on behalf of segregated accounts to fund certain variable life insurance policies and/or variable annuity contacts funded or to be funded through one or more of the accounts. The rights and obligations of FAM Distributors, Inc. under the Fund Participation Agreement was assigned to BlackRock Distributors, Inc. in Amendment No. 1.
