The Participation Agreement (the “Agreement”), dated as of May 1, 2002, by and among AIM Variable Insurance Funds (Invesco Variable Insurance Funds), a Delaware trust (“AVIF (IVIF)”), Transamerica Financial Life Insurance Company (“LIFE COMPANY”), a New York life insurance company, on behalf of itself and each of its segregated asset accounts as described in Schedule A hereto, as the parties hereto may revise from time to time with notice to all parties (each an Account, collectively the “Accounts”), and Transamerica Capital, Inc., a California corporation, an affiliate of LIFE COMPANY and principal underwriter of the Contracts, (“UNDERWRITER”), (collectively the “Parties”), is hereby amended as follows:

THIS AMENDMENT, is made and entered into as of the 1st of May, 2013 by and among TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be revised from time to time (the “Account”), and the VARIABLE INSURANCE PRODUCTS FUND, VARIABLE INSURANCE PRODUCTS FUND V (collectively, the “Fund”) and FIDELITY DISTRIBUTORS CORPORATION (the “Underwriter”).

This Amendment No. 8 is made effective May 1, 2013 and is incorporated in and made a part of the Participation Agreement (“the Agreement”) made as of the 2nd day of August, 1999 by and among TRANSAMERICA LIFE INSURANCE COMPANY and TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY (the “Company,” and collectively, “the “Companies”), JPMORGAN INSURANCE TRUST (the “Trust”), JPMORGAN INVESTMENT MANAGEMENT, INC., (the “Adviser”) and JPMORGAN FUNDS MANAGEMENT INC. (the “Services Company”).

Franklin Templeton Variable Insurance Products Trust (The “Trust”), Franklin/Templeton Distributors, Inc. (the “Underwriter,” and together with the Trust, “we” or “us”), Transamerica Financial Life Insurance Company (the “Company”) or “you”), and Transamerica Capital, Inc., your distributor, on your behalf and on behalf of certain Accounts, have previously entered into a Participation Agreement dated May 1, 2004, and subsequently amended May 3, 2004, April 29, 2005, May 1, 2007, July 30, 2007, January 10, 2008, May 1, 2009, October 1, 2010, May 1, 2011, October 31, 2011, March 1, 2012 and January 15, 2013, (the “Agreement”). The parties now desire to amend the Agreement by this amendment (the “Amendment”). Unless otherwise indicated, the terms defined in the Agreement shall have the same meaning in this Amendment.
