Scorpio Bulkers Inc., a Marshall Islands corporation (the “Company”), proposes to sell to the several underwriters (the “Underwriters”) named on Schedule I hereto for whom you are acting as Representative (the “Representative”) an aggregate of [ ] shares (the “Firm Shares”) of the Company’s common shares, $[ ] par value (the “Common Shares). The respective amounts of the Firm Shares to be so purchased by the several Underwriters are set forth opposite their names on Schedule I hereto. This Registration Rights Agreement (this “Agreement”), is made and entered into as of December 6, 2013, by and among Scorpio Bulkers Inc., a corporation formed under the laws of the Republic of the Marshall Islands (the “Company”), and Galahad Securities Limited, a limited liability company incorporated in the British Virgin Islands (the “Investor” and, together with any permitted transferee or assignee under Section 15 of this Agreement, the “Investors”).
